1. Acceptance of Terms

By creating an account, downloading the KapéOS mobile application, or accessing any part of the KapéOS Service (including the POS app, web dashboard, and API), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms"). If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms.

2. Description of Service

KapéOS is a cloud-based Point-of-Sale (POS) system designed for coffee shops and food service businesses. The Service includes:

  • Mobile POS application (Android) for processing sales transactions
  • Inventory management and recipe-based stock deduction
  • Kitchen Display System (KDS) for order tracking
  • Customer loyalty and rewards program management
  • Business analytics, financial reports, and tax-compliant receipt generation
  • Web-based dashboard for Enterprise account management
  • Multi-branch management for Enterprise subscribers

3. Subscription Plans & Billing

3.1 Plans

KapéOS offers three subscription tiers:

  • Lite (Free): Basic POS functionality with transaction recording and limited features
  • Pro (₱499/month): Full POS with inventory management, KDS, loyalty program, and analytics
  • Enterprise (Custom Pricing): Multi-branch support, dedicated account management, and premium features

3.2 Billing

Paid subscriptions are billed monthly in Philippine Pesos (₱). Payments are processed through our authorized payment partners. Subscription fees are non-refundable except as required by applicable Philippine consumer protection law (R.A. 7394).

3.3 Free Trial

New subscribers may be eligible for a free trial period. At the end of the trial, your subscription will automatically convert to a paid plan unless cancelled. You will be notified before any charges are applied.

4. Account Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Ensuring that all information provided is accurate and current
  • Immediately notifying us of any unauthorized use of your account
  • Managing staff access and permissions within your organization

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure
  • Reverse engineer, decompile, or disassemble any part of the software
  • Use the Service to process transactions for illegal goods or services
  • Share, resell, or sublicense your account access to third parties
  • Upload malicious code, viruses, or any content designed to disrupt the Service

6. Intellectual Property

All content, features, and functionality of the KapéOS Service — including but not limited to the software, design, logos, text, and graphics — are owned by KapéOS and are protected by Philippine intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for your business operations.

You retain full ownership of your business data (transactions, products, customer records) entered into the Service. We claim no intellectual property rights over your content.

7. Service Availability & Modifications

We strive for 99.9% uptime but do not guarantee uninterrupted service. The Service may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our control. We reserve the right to modify, suspend, or discontinue any feature of the Service with reasonable notice.

The KapéOS mobile app includes offline functionality (local-first order saving) to ensure business continuity during network outages. Data will sync automatically when connectivity is restored.

8. Limitation of Liability

To the maximum extent permitted by Philippine law, KapéOS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the Service.

Our total liability for any claim arising from the Service shall not exceed the total fees paid by you in the twelve (12) months preceding the claim.

9. Termination

You may cancel your subscription at any time through the dashboard or by contacting support. Upon cancellation, your access to paid features will end at the close of the current billing period. Your data will be retained for 30 days after cancellation, during which you may request a data export.

We may terminate or suspend your account immediately if you breach these Terms, fail to pay subscription fees, or engage in conduct that we determine, in our sole discretion, is harmful to the Service or other users.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes arising from these Terms or your use of the Service shall be resolved in the courts of the Philippines.
